`MOTION FOR LEAVE TO WITHDRAW AS COUNSEL

`Pursuant to Rule 83.7 of the Local Rules of Civil Practice and Procedure of the United
`
`States District Court for the District of Delaware, counsel with the firms of Mitchell + Company,
`
`Law Offices and Ashby & Geddes hereby move the Court for leave to withdrawal as counsel for
`
`DXG Technology (USA), Inc.(“DXG”), and in support thereof state the following:
`
`1. Basis for the Motion. The basis for the motion is that counsel for DXG in this matter
`
`have been advised by DXG that it has ceased business operations, will no longer maintain its
`
`defense of this litigation, and is discharging all of its counsel.
`
`2. Notice to Client. Pursuant to Local Rule 83.7, moving counsel have provided a copy of
`
`this motion to DXG by certified mail addressed to the DXG’s last known address. Counsel have
`
`been advised by DXG that it does not oppose this motion.
`
`3. Notice to Remaining Parties. Moving counsel also have provided a copy of this
`
`motion to all remaining parties in this matter and have been advised that the motion is
`
`unopposed.
